PLATFORM POLICY AGREEMENT
This Platform Policy Agreement (this "Agreement") is made as of May 15, 2025 (the "Effective Date"), by and between Squibber Inc., a Delaware corporation (the "Company"), and the undersigned user of the Squibber platform (the "User"). The Company and the User are referred to herein collectively as the "Parties."
RECITALS
WHEREAS, the Company operates a centralized online platform (the "Platform") designed to support verified college students in locating, offering, and managing residential sublease arrangements;
WHEREAS, the User seeks to access the Platform for purposes related to listing or booking residential sublets;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:
Eligibility and Verification
The Platform is available exclusively to individuals at least eighteen (18) years of age who are enrolled at, or affiliated with, an accredited college or university. Verification by the Company may require submission of a government-issued identification, institutional email, proof of enrollment, or other documentation. The Company may deny or revoke access to the Platform at its sole discretion for failure to meet eligibility or verification standards.
Platform Services
The Platform facilitates user-to-user communication and the execution of sublease agreements. The Company does not own, manage, or inspect any properties listed on the Platform and is not a party to any lease or sublease agreement entered into by the User. The Platform is provided on an "as-is" basis and without warranty of any kind.
Payments and Deposits
Any payment or deposit transmitted through the Platform shall be held by the Company solely as a neutral administrator. The Company shall disburse funds in accordance with the jointly submitted instructions of the Parties or as otherwise permitted in the terms of a sublease agreement executed through the Platform.
User Conduct
The User shall not use the Platform to:
- Engage in any unlawful, fraudulent, or deceptive conduct;
- Post inaccurate, incomplete, or misleading listings;
- Circumvent the Platform to arrange off-platform transactions;
- Impersonate another person or provide false verification information;
- Interfere with or harm the experience of other users.
Suspension and Termination
The Company may suspend or terminate the User's access to the Platform at any time and for any reason, including but not limited to suspected misconduct, failure to verify identity, or violation of this Agreement.
Limitation of Liability
The Company shall not be liable for any losses, damages, claims, or disputes arising from or related to (i) any interaction or agreement between users; (ii) any property condition or event occurring at a listed location; or (iii) any technical or access issues affecting the Platform. The User agrees to release and hold harmless the Company from any liability related thereto.
Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts without regard to its conflicts of law provisions. Any legal proceeding arising out of this Agreement shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts.
Modifications
The Company may amend this Agreement from time to time by posting a revised version on its website. Continued use of the Platform following such posting constitutes acceptance of the revised Agreement.
Entire Agreement
This Agreement sets forth the entire understanding between the Parties regarding the subject matter herein and supersedes all prior or contemporaneous representations, communications, or agreements.
